Terms of service

Last updated 19 October 2026

Draft template. These terms have not yet been reviewed by a lawyer. They must be checked, and the details in square brackets completed, before Quoterium is launched.

These terms govern your use of Quoterium, the online quoting service available at quoterium.com and in the Quoterium app. Quoterium is provided by [Company legal name], a company registered in [Jurisdiction: England and Wales] under company number [Company number], whose registered office is at [Registered address] (VAT number [VAT number]) — “we”, “us” and “our” in these terms.

By creating an account or using Quoterium you agree to these terms. If you use Quoterium on behalf of a business, you confirm that you are authorised to accept them for that business, and “you” means that business as well as you.

1. Accounts and organisations

Quoterium is organised around organisations: the business whose quotes, clients, settings and subscription are kept together. When you sign up, you create an organisation and become its owner.

  • The owner can invite other people as admins or members. Admins can manage the organisation’s settings, team and integrations and raise invoices; members can write and send quotes and manage clients, contacts and the library. The owner manages the subscription and can transfer ownership.
  • One login can belong to, or own, several organisations. Each organisation has its own data and its own subscription.
  • You must give accurate information when you register and keep it up to date, keep your password confidential, and tell us promptly through our contact form if you think someone else has accessed your account.
  • You are responsible for what happens under your organisation, including the actions of the people you invite.
  • You must be at least 18 years old and using Quoterium for business purposes.

2. The service

Quoterium lets you prepare quotes, proposals and estimates (including by importing a quote from a Word or PDF document with AI), send them to your clients by email, let your clients choose options, ask questions, accept and sign them online, and, if you connect it, raise invoices in Xero. We may improve and change the service over time. If we remove a feature that is significant to the way you use Quoterium, we will tell you in advance where we reasonably can.

Some features depend on services provided by others, which you choose to use and which have their own terms:

  • Stripe processes subscription payments.
  • Xero, if you connect it, receives the contacts and invoices you ask Quoterium to create there.
  • OpenRouter, and the AI model provider it routes to, if you use the AI-written invoice summary or import a quote from a Word or PDF document (the whole document is sent to be read).
  • Your own mail server, if you configure Quoterium to send email through it.

We are not responsible for those services, for their availability, or for what they do with information you choose to send them.

3. Free trial

Each new organisation starts with a free trial of 14 days with every feature included. No payment card is required for the trial. When the trial ends, the organisation is locked until a plan is chosen: you can still sign in, see your billing settings and subscribe, and your data is kept as described in section 6.

4. Subscriptions and payment

  • Plans and prices are shown on our pricing page. Every plan includes every feature; plans may differ by the number of team members, the number of quotes you can create each month, file storage and the number of AI quote imports each month.
  • Subscriptions are billed in advance, monthly or yearly as you choose, by Stripe. By subscribing you authorise us, through Stripe, to charge your payment method at the start of each billing period until you cancel.
  • Prices are shown [exclusive / inclusive] of VAT. [Where VAT or other sales taxes apply, they are added at the applicable rate.]
  • If you change plan during a billing period, the change takes effect immediately and Stripe calculates a proportional charge or credit.
  • If a payment fails, Stripe will try to collect it again. If it still cannot be collected, we may suspend access to the organisation until the payment is made.
  • We may change our prices. We will give you at least [30] days’ notice by email, and the new price will apply from your next billing period after the notice ends. If you do not agree, you can cancel before then.
  • Except where the law requires otherwise, payments are not refundable, including for partly used periods.

5. Cancellation

The owner can cancel the subscription at any time from Settings → Billing. Cancellation takes effect at the end of the current billing period: you keep full access until then and are not charged again. Until the period ends you can change your mind and resume the subscription.

We may suspend or end your access, with notice where reasonable, if you seriously or repeatedly break these terms, if you do not pay, or if we are required to by law. If we end the service for reasons other than your breach, we will refund any amount paid for the period after it ends.

6. Your data after cancellation

When a subscription ends, or a trial ends without a plan being chosen, the organisation is locked but its data is not deleted straight away. You can subscribe again within that time and carry on where you left off. We keep the organisation’s data for [30] days after the end of the subscription or trial, after which it is deleted from our live systems, and from our backups within a further [period]. If you would like a copy of your data, ask us before then: quotes and the library can also be exported as CSV from the app at any time while you have access.

We may keep a limited amount of information for longer where we need it to meet our legal obligations, such as billing records for tax purposes.

7. Your content

“Customer content” means everything you and your team put into Quoterium, and everything your clients add to your quotes: client and contact details, quotes, templates, library items, messages, files, signatures and acceptances.

  • You own your customer content. You give us permission to host, copy, process and display it only as needed to provide Quoterium to you, to keep it secure and to support you.
  • You are responsible for your customer content and for having the right to use it, including any personal data about your clients and their staff. For that personal data, you are the controller and we act as your processor; our privacy policy explains how, and our data processing terms [link or reference to the data processing agreement] form part of these terms.
  • The quotes you send and the contracts formed when your clients accept them are between you and your clients. We are not a party to them.
  • Quoterium records evidence of electronic acceptance, such as the time, IP address, device, verified email address and a hash of the agreed document. Whether an electronic signature is valid for a particular agreement depends on the law that applies to it; you are responsible for deciding whether it is suitable.

8. Acceptable use

You must not use Quoterium, or let anyone else use it, to:

  • break the law, or send anything fraudulent, defamatory or misleading;
  • send spam or unsolicited bulk email, or email people who have not dealt with you;
  • upload malicious software, or content you do not have the right to share;
  • try to access data belonging to another organisation, test or bypass our security, or overload the service;
  • copy, resell or reverse-engineer the service, or use it to build a competing product;
  • impersonate another person or business, including in the sender details of emails.

If you send email through your own mail server, you are responsible for that server and for being authorised to send from its addresses.

9. Our intellectual property

Quoterium, its software, design and content (other than your customer content) belong to us or our licensors. We give you a non-exclusive, non-transferable right to use Quoterium for your business during your subscription. If you send us suggestions, we may use them without obligation to you.

10. Availability and support

We aim to keep Quoterium available at all times, but we do not guarantee that it will be uninterrupted or free of errors. We may need to take it offline for maintenance, which we will try to schedule at quiet times. Support is available through the support page.

Exchange rates in Quoterium come from public reference rates published by the European Central Bank. They are provided for convenience; you are responsible for the prices you quote.

11. Liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.

Subject to that:

  • we are not liable for loss of profits, revenue, business, goodwill or anticipated savings, or for any indirect or consequential loss;
  • we are not liable for loss caused by services we do not control, including Stripe, Xero, OpenRouter, email providers and your own systems;
  • our total liability to you in any 12-month period is limited to the amount you paid us for Quoterium in that period [or £[amount], if greater].

You are responsible for checking quotes, prices, tax and invoices before you send them.

12. Changes to these terms

We may update these terms from time to time. If a change is significant, we will tell the owner of each organisation by email at least [30] days before it takes effect. If you continue to use Quoterium after that, the new terms apply; if you do not agree, you can cancel before they take effect.

13. General

  • These terms, together with the privacy policy and the data processing terms, are the whole agreement between you and us about Quoterium.
  • You may not transfer your rights under these terms without our consent. We may transfer ours to a business that takes over Quoterium, and will tell you if we do.
  • If any part of these terms is found to be unenforceable, the rest remains in force.
  • If we do not enforce a right straight away, we can still enforce it later.

14. Governing law

These terms and any dispute arising from them are governed by the law of [Jurisdiction: England and Wales], and the courts of [Jurisdiction: England and Wales] have exclusive jurisdiction.
